Please review these terms carefully before using the JaxsonRiley website and services.
1. Acceptance of Terms
These Terms of Use (“Terms”) govern your access to and use of jaxsonriley.net and its pages, content, and features (the “Site”), owned and operated by JaxsonRiley, LLC (“JaxsonRiley,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.
2. About the Site
The Site provides information about JaxsonRiley’s talent and consulting services: executive search and direct hire, contract and temporary staffing, embedded recruiting, nearshore staffing, succession planning, and advisory services (talent ecosystem assessment, talent infrastructure design, playbook and program development, and AI and SaaS technology advisory). It also describes our giving model and provides career resources for candidates.
The Site is intended for business and professional use by persons 18 years of age or older. We do not knowingly collect information from minors.
3. Eligibility and Authority
You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you use the Site on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
4. No Employment, Placement, or Client Relationship
Viewing the Site, submitting a form, booking a call, or contacting us does not create an employment relationship, an offer of employment, a placement commitment, an agency relationship, or a client engagement.
Search, staffing, and advisory services are provided only under a separate written agreement signed by JaxsonRiley and the client. Nothing on the Site guarantees that a candidate will be placed, that an employer will receive candidates, or that any specific outcome will be achieved.
5. Information on the Site
The Site is provided for general informational purposes. We make reasonable efforts to keep content accurate and current but do not warrant that it is complete or up to date.
Statements about cost savings (including nearshore savings ranges), donation totals and goals, and success stories are illustrative, reflect the circumstances described, and are not guarantees of future results. Results vary by engagement.
Nothing on the Site is legal, tax, employment-law, or financial advice.
6. Submissions From Candidates and Prospective Clients
The Site may let you submit information through forms (for example, to book an introduction call through our scheduling tool, express interest in being hired, or contact us). When you submit information, you agree that:
- The information is accurate, current, and complete.
- You have the right to provide it, including any resume or personal data of third parties.
- It is not unlawful, misleading, defamatory, or infringing, and contains no malicious code.
- We may store and use it for business, recruiting, and communication purposes, and, for candidates, share it with prospective employers or clients as you authorize and as described in the Privacy Policy.
Submitting information does not guarantee a response, interview, or placement.
7. Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose or in violation of applicable law.
- Attempt unauthorized access to the Site, its servers, or connected systems.
- Interfere with or disrupt the Site, or introduce viruses, malware, or other harmful code.
- Use bots, scrapers, or other automated means to collect content or data from the Site without our written permission.
- Impersonate any person or entity or misrepresent your affiliation.
- Use the Site to solicit our candidates, clients, or employees, or to send unsolicited commercial messages.
- Submit false, fraudulent, or discriminatory job or candidate information.
8. Intellectual Property
The Site and its content, including text, graphics, logos, images, service descriptions, layout, and software, are owned by or licensed to JaxsonRiley and protected by copyright, trademark, and other laws. “JaxsonRiley” and associated logos are trademarks of JaxsonRiley, LLC.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for personal or internal business purposes. You may not copy, modify, distribute, republish, or create derivative works from any part of the Site without our prior written consent.
Third-party names and logos (including clients, charities, and technology providers) belong to their respective owners.
9. Third-Party Links and Services
The Site may link to or embed third-party websites and services, such as social media platforms and online scheduling or appointment-booking tools. When you use a third-party scheduling service to book a call, the information you enter (such as your name, email address, phone number, and meeting details) may be collected and processed by that provider under its own terms and privacy policy. We do not control and are not responsible for their content, availability, or privacy practices. Your use of them is governed by their own terms.
References to third-party platforms (such as LinkedIn, Indeed, or Glassdoor) do not imply affiliation, endorsement, or partnership.
10. Charitable Giving Statements
The Site describes JaxsonRiley’s giving model, under which a portion of revenue from certain services is donated to children’s charities. Donation figures are provided for information only. The Site does not solicit or accept charitable contributions, and using it is not a donation. Recipient charities are independent organizations for whose operations JaxsonRiley is not responsible.
11. Privacy
Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and share information.
12. Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, JAXSONRILEY AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED $100.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. This section does not limit liability under any separate written services agreement.
14. Indemnification
You agree to indemnify and hold harmless JaxsonRiley and its owners, officers, employees, and agents from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Site, your submissions, your breach of these Terms, or your violation of any third party’s rights.
15. Suspension and Termination
We may suspend or restrict your access to the Site at any time, with or without notice, including for suspected violation of these Terms. Provisions that by nature should survive termination will survive, including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in Hillsborough County, Florida (including the U.S. District Court for the Middle District of Florida, Tampa Division), and you consent to their jurisdiction.
17. Changes to These Terms
We may update these Terms at any time by posting the revised version on the Site with a new “Last Updated” date. Continued use of the Site after posting constitutes acceptance of the revised Terms.
18. General
These Terms and the Privacy Policy are the entire agreement between you and JaxsonRiley regarding the Site. If any provision is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely.
